Parking:

There will be three lots available to accommodate our large number of guests. 

The main lot for the Blue Ocean Event Center will be first come, first served. If full upon your arrival, there is a second lot adjacent to the main lot. You may exit the main lot from the rear and take a right, then an immediate right into the second lot.

Overflow parking is available at the municipal lot in Salisbury Beach Center. This lot is an approximate five-minute walk away (.3 mile).

Upon Arrival:

Once you enter Blue Ocean Event Center, please head up the stairs to the second floor. A member of the Pentucket Bank team will be there to greet you and direct you toward registration. Elevator access is also available. 

Please make sure you check in and receive your nametag. This is important so that we may verify your attendance and provide you with your voting ballot.  

Meeting Details:

  • Pentucket Bank’s Annual Meeting will be held in the Atlantic Ballroom, which is to the right at the top of the stairs.
  • Newburyport Bank’s Annual Meeting will be held in the Grandview Hall, which is to the left at the top of the stairs.

Both meetings will begin promptly at 5:00 p.m.

Combined Celebratory Reception:

Following the conclusion of the business meetings, all guests from both Pentucket Bank and Newburyport Bank are invited to a combined cocktail reception. This will be the first time that Corporators and Employees from both Banks will come together in celebration of our partnership.

As you exit the meeting space, you will be directed to the first-floor Ocean Room and Blue Ocean Event Center where you may enjoy heavy hors d’oeuvres and complimentary cocktails.

There will be brief remarks presented by Jon Dowst and Lloyd Hamm at approximately 6:45 p.m.

Upon the conclusion of the event, please be sure to stop by the gift table to receive a token of our appreciation for your support. 

If you are unable to stay for the reception, please exit through the Ocean Room and Blue Ocean Event Center to retrieve your coat and pick up your gift.

Dear Corporators & Board,

The Annual Meeting for Pentucket Bank Holdings, MHC will take place on Monday, March 27, 2023 at 5:00 p.m.  The meeting will be held at the Blue Ocean Event Center, 4 Ocean Front North, Salisbury, Massachusetts.

We are awaiting regulatory approval of the merger between Pentucket Bank Holdings, MHC and Newburyport Five Cents Bancorp, MHC; therefore, our respective Annual Meetings will be conducted at Blue Ocean on the same date and time, but in separate rooms of the facility.  At the conclusion of our business meetings, we will come together in one space to enjoy a corporate cocktail reception.

Name tags will be provided for all attendees.  Please be sure to pick up your badge at the reception table prior to the meeting so that we may keep an accurate account of attendance.

Notice is hereby given that Pentucket Bank Holdings, MHC will hold a Special Meeting of its Corporators (the “Special Meeting”) on

Wednesday, January 25, 2023,
beginning at 4:30 p.m., Eastern Time,
at Haverhill Golf & Country Club, 58 Brickett Lane, Haverhill, MA.

The purpose of the Special Meeting is to consider and act upon proposals to (1) approve the Agreement and Plan of Merger by and among Newburyport Five Cents Bancorp, MHC, Newburyport Five Cents Bancorp, Inc., Newburyport Five Cents Savings Bank, Pentucket Bank Holdings, MHC, Pentucket Bancorp, Inc. and Pentucket Bank, dated as of December 16, 2022, providing for the merger of Pentucket Bank Holdings, MHC, with and into Newburyport Five Cents Bancorp, MHC, and Pentucket Bancorp Inc. with and into Newburyport Five Cents Bancorp, Inc.; and (2) approve certain related matters.

Newburyport Bank and Pentucket Bank will continue their separate legal existence following the Merger with each bank maintaining its own name, brand, headquarters, Board of Directors, officers, lending team and retail organization under the oversight of the Board of Trustees of the combined mutual holding company.

A copy of the Agreement and Plan of Merger is available for inspection by the Corporators at the administrative office of Pentucket Bank Holdings, MHC, 2 Merrimack Street, Haverhill, MA, during regular business hours up to and including the date of the Special Meeting.

In order to cast your vote, you must attend in person.  Proxy voting is not permitted.  Therefore, please make every effort to attend.  You will be able to receive your ballot and cast your vote at any time during the Special Meeting.  We anticipate that the Special Meeting may last approximately two hours.

A timely arrival will ensure your vote is cast prior to adjournment of the meeting so that it may be counted.  When you arrive, please visit the reception table to pick up your ballot and to sign the attendance log.

You may remain at or leave the Special Meeting after voting; however, we hope you will stay and join us for a cocktail and hors d’oeuvres reception.

Note:  The Corporator Information Statement has also been sent to you today via First Class U.S. Mail.

It’s an exciting time to be our Corporator!

The Senior Leadership Team and Board of Directors of Pentucket Bank are pleased to announce that Pentucket Bank Holdings, MHC, and Newburyport Five Cents Bancorp, MHC, the holding companies of Pentucket Bank and Newburyport Bank, are planning to combine to become one single mutual holding company with two independent community banks.

This innovative and strategically formed joint entity allows Pentucket Bank to share operational costs, certain investments, and resources with Newburyport Bank, another strong, state-chartered mutual savings bank, based in Newburyport, Massachusetts. The result: a greater capacity to serve our customers, achieve scale and efficiencies, and continue to invest in our Banks and communities.

What Does This Mean as a Corporator of the Bank?
While operating under one holding company, each Bank will maintain its current name, brand, headquarters, retail and lending organizations, management, Charitable Foundation, and Board of Directors; Bank Corporators will serve as Corporators of the new mutual holding company.  Additionally, we plan to form a Board of Advisors for each respective Bank that Corporators serve today.  To further the independence of the two Banks, each Bank will be instituting Charter protections to ensure each organization will remain a mutual savings bank for years to come.

You will also receive this communication via USPS, along with these helpful FAQs.  Please stay tuned for a future communication that includes an invitation to meet with the leadership of both Banks to discuss details regarding the vote, and to request your support to formalize the new mutual holding company.
